It is NOT that simple. It could have been, but to rush the merger, David Ellison, financial genius he is, put a hard deadline clause in the merger contract. The clause says if the deal is not closed by September 30th, Paramount must pay out the Warner stockholders an equivalent of 25 cents a share, or $7 million dollars per day on top of what’s already owed. That adds up to $650 million every 90 days. If the case goes to trial, and there is a very good chance it might, it could take up to a year to resolve, leading to an additional $2.6 billion on top of what’s already owed. If they appeal and that appeal takes another year’s they’re looking at $5.2 billion on top of what’s already owed, a cool $110 billion. And this deal is already over-leveraged to hell. At that point it might be easier to pay the $7 billion breakup fee and be done with it than have it dragged out and potentially bankrupt the studio.

It’s not in front of the Supreme Court yet. It’s currently in US Federal Court and the district judge has signaled she isn’t sympathetic to the ticking clock clause being a reason to rush to judgment.

Again, if this wasn’t on the clock I am confident that Paramount would win…eventually. But the legal process and time to reach the Supreme Court could take years if this gets dragged out, and every 90 days is another $650 million tacked on to an over-leveraged company.

Lastly, considering Netflix didn’t want any of the networks, Ellison could have bought CNN directly and not tried to buy the entirety of Warner. So it’s clear he wants the whole thing, even if he may have doomed his attempt just because of the extra costs the time limit clause will add up to.

You...really don't get how the US legal system works, do you? No, he can't do that, that's not how the shadow docket works, and for all of Ellison's schmoozing of the administration that's probably not happening if you know his personal history. Ellison's whole thing is he's a failed actor and film producer who tried to break into Hollywood but failed miserably at it because, for all his money and connections, he had no knack for either. He's never gonna sell off the entertainment sector he badly wants to be acknowledged by

On top of what everyone else has said, it's worth pointing out that the merger has to be approved in more countries than just the US. Because WB and Paramount have significant holdings abroad, the EU has to approve it, too, and the Roberts court has no power there.

Warner Bros ceased to make high quality animated shows and movies more than half a century ago, and nothing in this planned merger will change that.

The money for this is coming from Oracle - for those who have not experienced it, Windows Vista is by comparison a great system for the end user (Oracle may work for accountants, but as an overall ERP it is horrible).

If we go by this janky timeline of yours that means Batman The Animated series, Superman The Animated Series, Justice League/Justice League Unlimited, Batman Beyond, Teen Titans 03, Static Shock, Batman TB&TB, Scooby Doo Mystery Inc. are all shows that no one liked despite them having ran for numerous seasons and decent to strong following.

It also ignores some shows that were never really given the chance because of “we need to sell toys” such as The Thundercats 2011 Reboot, The Batman, Green Lantern The Animated Series, & Young Justice.

And while their movie slate has been far more inconsistent let’s not pretend they haven’t had success at the box office there either.

I hope the feds are smart and say "No" to it, something that was not done but should have been done for the AT&T Time Warner and Disney-Fox mergers.

The longer this gets dragged out, the more likely Paramount is forced to abandon the deal just because they won’t have the money if an extra $2.6 - $8 billion is thrown on top of the $110 billion they can barely afford as is.

There is often an inverse relationship between popularity and quality.

Claiming this while the DC Animated Universe exists is patently ridiculous.

Batman:TAS is one of the most critically-acclaimed works of television animation that has ever been produced by any country, full stop. And the rest of the DCAU isn't far behind.

So getting nominated for and even winning Emmy’s and Annie Awards don’t mean squat then?

Show hope I don’t see you lurking in any thread on here when an anime you like loses out an award.

And yet Mask of the Phantasm is one of the most well known box-office bombs of all time.
